About the Role

We are seeking a highly motivated and detail-oriented Associate General Counsel to join our Strategy & Business Affairs department. The ideal candidate will have 2–5 years of experience practicing corporate and business law in the State of California, with a strong emphasis on drafting and negotiating contracts, corporate law, internet law, and general business advisory. Litigation experience and/or experience handling regulatory or compliance matters in the wellness industry is preferred, but not required. This position offers the opportunity to work in a collaborative, fast-paced environment supporting diverse business functions.

Responsibilities

  • Draft, review, and negotiate a wide variety of commercial agreements, including vendor contracts, licensing agreements, collaboration agreements and service agreements.
  • Provide legal counsel on a broad range of business issues, including corporate governance, regulatory compliance, risk management, and employment-related matters.
  • Provide strategic guidance on FDA regulatory compliance across the product lifecycle, from preclinical stages through to commercial product development.
  • Advise on product approvals, labeling, inspections, manufacturing, recalls, adverse event management, and quality agreements.
  • Conduct due diligence for life sciences transactions, especially in acquisitions involving regulatory aspects.
  • Assist with the design, development, operation, and protection of company websites and social media accounts, as well other technology initiatives, including AI-related products and projects.
  • Assist with the management and protection of the company’s intellectual property portfolio.
  • Collaborate with outside counsel as needed on litigation, IP prosecution, and specialized legal matters.
  • Conduct legal research and provide strategic guidance to leadership on the implications of business decisions and regulatory changes.
  • Support corporate transactions, including financings, M&A, and entity formation or restructuring activities.
  • Ensure all company practices and procedures comply with applicable laws and industry standards in California and other relevant jurisdictions.

Qualifications

  • J.D. degree from an accredited law school.
  • Licensed to practice law in the State of California and in good standing with the California State Bar.
  • 2-5 years of experience practicing general corporate and business law, with demonstrated expertise in contracts and intellectual property.
  • Strong legal drafting, negotiation, and analytical skills.
  • Excellent communication skills and the ability to translate complex legal concepts into practical business guidance.
  • Proven ability to manage multiple projects in a dynamic, fast-paced environment with a high degree of independence and sound judgment.
